Terms of Service

The deal between us and you .

These terms set out what you can expect from Petal Powered and what we ask from you in return. We've tried to keep them readable. If anything is unclear, ask us — we'd rather answer questions than rely on small print.

1. About these terms

By signing up for Petal Powered, starting a free trial, or using the platform, you agree to these terms. They form a contract between you (the florist or business operating an account) and Petal Powered, Inc. (us). If you don't agree, please don't use the service.

2. The service

Petal Powered is a hosted (SaaS) e-commerce platform for independent florists. It provides website, shop, subscription, delivery and customer-order tools as described on our features page at the time you sign up.

We may add, change or remove individual features from time to time. If we remove or materially reduce a feature you depend on, we'll give you reasonable notice and, where appropriate, a refund of any unused subscription.

3. Eligibility & account

  • You must be 18 or over and authorised to act on behalf of the business you're signing up.
  • You must keep your login details confidential and tell us promptly if you suspect they've been compromised.
  • You are responsible for everything done through your account.

4. Free trial

We offer a 14-day free trial. You don't need a credit card to start. If you don't add payment details by the end of the trial, your account is paused. Trial data is kept for 30 days after the trial ends, then deleted unless you've activated a paid plan.

5. Subscriptions, billing & cancellation

  • Plans are billed monthly or annually in advance, in GBP, plus VAT where applicable.
  • Annual plans are 20% cheaper than monthly. We do not pro-rate annual fees if you downgrade mid-cycle — we honour the higher plan until renewal.
  • You can upgrade or downgrade at any time. Upgrades are pro-rated; downgrades take effect at the next billing cycle.
  • You can cancel at any time from your account. Your shop stays live until the end of the period you've already paid for.
  • We do not commission — you connect your own Stripe account and we never sit in the middle of customer payments to you.

6. Refunds

If you change your mind within 14 days of first paying for a plan, email us and we'll refund the most recent payment in full. After that, we don't typically refund unused time on monthly plans. For annual plans, we'll refund pro-rata for unused months, less any discount you received for paying annually.

7. Acceptable use

You agree not to use Petal Powered to:

  • Sell anything that is illegal in the UK
  • Infringe anyone's intellectual property rights
  • Send unsolicited bulk email (spam) using our infrastructure
  • Attempt to reverse-engineer, scrape or overload the platform
  • Mislead your customers about who you are or what you sell

We may suspend or terminate accounts that break these rules, with notice where it's reasonable to give it.

8. Your content and your customer data

Everything you upload — your products, photos, copy, and your customer list — remains yours. You grant us a limited licence to host, copy and display it solely so we can run the service for you. We don't use your content or your customer data to train models, sell to advertisers, or anything other than running your shop.

Where your shop processes personal data of your end customers, we act as a processor on your behalf. The terms of that processing are set out in our Data Processing Agreement, which forms part of these terms.

9. Our intellectual property

The Petal Powered software, brand and design templates remain ours. You get a non-exclusive, non-transferable licence to use them for your shop while your subscription is active.

10. Availability

We work hard to keep Petal Powered up and online and target 99.9% monthly uptime. We don't guarantee an uninterrupted service — planned maintenance, faults at upstream providers, and force majeure events can all cause downtime. If we cause significant downtime ourselves, get in touch and we'll discuss a proportionate credit.

11. Disclaimers and our liability

Petal Powered is provided "as is". We make no warranty that it will be fit for any particular purpose beyond what's described on the marketing site. To the maximum extent allowed by law:

  • We exclude liability for indirect or consequential loss, lost profits, lost revenue and lost goodwill.
  • Our total liability to you in any 12-month period is capped at the fees you've paid us in that same period.
  • Nothing in these terms limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that can't be excluded under UK law.

12. Termination

You can close your account at any time from inside the app. We can terminate your account if you materially breach these terms, if your payment fails and isn't cured within 14 days, or if running your account becomes commercially unviable for us — in which case we'll give you 60 days' notice and refund any unused subscription.

On termination you can export your data for up to 30 days. After that, we delete it, except where we're required to retain records by law.

13. Changes to these terms

We may update these terms occasionally. If we make material changes, we'll email customers at least 30 days before the change takes effect. Continued use after a change means you accept the updated terms.

14. Governing law & disputes

These terms are governed by the laws of England and Wales. Any dispute that we can't sort out by talking goes to the exclusive jurisdiction of the courts of England and Wales.
